1 About these terms

These Terms of Use (“Terms”) apply to everyone who has an authorised account on Neuraplex. Neuraplex is provided and operated by Neurodevelopmental Services Limited (“we”, “us” or “our”).

By using Neuraplex, you agree to follow these Terms. Your organisation’s use of Neuraplex is also governed by its own agreement with us. If these Terms conflict with that agreement, the agreement takes priority.

If you do not agree to these Terms, do not use Neuraplex.

2 Your account

You may use Neuraplex only through an authorised account issued to you. Your account is personal to you. You must:

  • use only your own account;
  • keep your password and authentication details secure;
  • never share your account, password or one-time passcode (“OTP”) with anyone;
  • never let anyone else use Neuraplex through your account;
  • use Neuraplex only for the purposes your organisation has authorised; and
  • report suspected unauthorised access to your account straight away.

You are responsible for activity carried out through your account, to the extent permitted by law and your organisation’s policies.

3 Appropriate use

You must use Neuraplex lawfully and professionally, and in line with:

  • these Terms;
  • your organisation’s policies;
  • your professional standards;
  • data-protection and confidentiality requirements; and
  • any agreement governing your organisation’s use of Neuraplex.

You must not knowingly use Neuraplex in a way that could compromise its security, integrity, availability or lawful operation.

4 Confidentiality

Neuraplex contains confidential and proprietary information. You must not disclose it to anyone who is not authorised to see it. This includes non-public:

  • platform functionality and workflows;
  • forms, templates and user-interface elements;
  • technical information and configurations;
  • documentation and demonstrations; and
  • product-development information and planned functionality.

Your duties of confidentiality to patients, service users and your organisation continue to apply under the law, your professional obligations and your organisation’s policies.

5 Screenshots, photography and recordings

Unless you have prior written permission from Neurodevelopmental Services Limited, you must not:

  • take screenshots or screen captures of Neuraplex;
  • photograph a screen or device showing Neuraplex;
  • make screen or video recordings of Neuraplex;
  • record Neuraplex demonstrations, training or onboarding sessions;
  • copy or reproduce the Neuraplex interface, workflows, forms, templates, reports or documentation;
  • share images, recordings or reproductions of Neuraplex with anyone; or
  • give Neuraplex materials to another software supplier, developer or commercial organisation.

This applies especially to Trial and User Acceptance Testing (“UAT”) environments.

Exceptions. You may:

  • send a screenshot only to Neuraplex Support to report a fault, error or clinical safety concern, provided it contains no patient-identifiable information unless Support asks for it and it is safe to share; and
  • use assistive technology you need to access Neuraplex, such as a screen reader or screen magnifier.

If your organisation needs a capture or reproduction for governance, clinical safety, information governance, procurement or another legitimate purpose, it must ask us for written permission first. Email is enough.

Nothing in these Terms prevents a disclosure required by law, a court order or an authorised regulatory or public authority.

6 Intellectual property

Neuraplex contains proprietary intellectual property and may include third-party materials used under licence. All intellectual property rights remain with their owners and licensors.

Your access lets you use Neuraplex only as your organisation has authorised. It does not give you ownership of Neuraplex or its intellectual property.

Except where expressly authorised, or where the law does not allow this restriction, you must not:

  • copy substantial proprietary elements of Neuraplex;
  • distribute, sublicense or commercially exploit Neuraplex;
  • try to obtain or derive its source code;
  • reverse engineer, decompile or disassemble the software;
  • remove copyright, trade mark or proprietary notices; or
  • use confidential Neuraplex materials to reproduce substantial proprietary elements in another software product.

7 Patient and service-user information

Where your organisation has authorised Neuraplex for patient or service-user information, you must handle that information in line with:

  • data-protection law;
  • your professional responsibilities;
  • your organisation’s information-governance requirements;
  • your access permissions; and
  • the purposes your organisation has authorised.

Only access a record when you have a legitimate, authorised reason to. Never look at records out of curiosity, including your own record or those of family, friends or colleagues, unless your role and your organisation’s policies allow it.

8 Trial and UAT environments

If you are using a Trial or UAT environment, you understand that:

  • it is for testing and evaluation;
  • some functionality is still being developed and may change during the trial;
  • it may not be as available as a live system; and
  • access may end when the trial ends.

Use synthetic or dummy information only. You must not enter identifiable patient or service-user information into a UAT environment unless this has been specifically authorised in writing and the right data-processing arrangements are in place.

9 Clinical responsibility

Neuraplex supports clinical and administrative work. It does not replace professional clinical judgement.

If you are a healthcare professional, you remain responsible for the clinical decisions you make in your role.

Where Neuraplex structures, generates, pre-populates or summarises information, including through any AI-assisted feature, you must review and check anything clinically relevant before relying on it. Do not assume information is clinically correct just because Neuraplex generated or displayed it.

10 Accuracy of information and safety concerns

You must take reasonable care when entering, reviewing, changing or approving information in Neuraplex. Where information has clinical, safeguarding, medication, diagnostic or other significant implications, you must check it to the standard expected in your role.

If information looks incorrect, incomplete or linked to the wrong person, do not rely on it. Follow your organisation’s correction or escalation process.

Report clinical safety concerns. If you think Neuraplex has behaved in a way that could affect patient safety, report it to your organisation’s Clinical Safety Officer or incident process, and to Neuraplex Support, as soon as possible.

11 Security

You must not:

  • try to bypass security controls;
  • try to access areas you do not have permission for;
  • interfere with the operation or security of Neuraplex;
  • introduce malicious software or code;
  • carry out security testing without our written authorisation;
  • use automated tools to extract information from Neuraplex without authorisation; or
  • knowingly help anyone gain unauthorised access.

You must report suspected security incidents to Neuraplex Support and your organisation straight away.

12 Audit logging

Your use of Neuraplex is recorded in audit logs. These may include:

  • account activation, authentication, login and logout;
  • access to records or areas of the platform;
  • information you create or change;
  • other actions taken through your account; and
  • relevant security events.

Audit records may be reviewed for security, accountability, investigation, governance, support and compliance, and may be shared with your organisation for these purposes.

13 Privacy

How we handle personal information about you as a user is explained in the Neuraplex User Privacy Notice.

Where patient or service-user information is processed in Neuraplex, the healthcare organisation responsible for that person’s care is normally responsible for giving them privacy information.

14 Accessibility

We aim to make Neuraplex accessible and easy to use. The Neuraplex Accessibility Statement explains our approach and how to report a difficulty.

15 Support

Do not include patient-identifiable or confidential information unless Support asks for it and it is safe to share.

16 Suspension or withdrawal of access

Your access may be suspended or withdrawn where reasonably necessary, including where:

  • your organisation asks us to remove your access;
  • you no longer need access;
  • the trial or contract ends;
  • there is a significant security concern or suspected unauthorised access;
  • these Terms are materially breached; or
  • continued access creates a material risk to Neuraplex, its users or information.

Where appropriate, we may refer a matter to your organisation for investigation.

17 Platform availability and changes

We update Neuraplex from time to time to improve its functionality, security, usability and performance, so features may change. Changes may be more frequent in Trial or UAT environments.

We take reasonable steps to maintain Neuraplex but cannot guarantee that access will always be uninterrupted or error-free.

18 Third-party content and services

Neuraplex may contain or connect to third-party software, services, assessment tools, terminology or other content. These may be subject to separate rights, licences or terms. Using them through Neuraplex does not give you or your organisation ownership of them.

19 Changes to these Terms

We may update these Terms to reflect changes to Neuraplex, security requirements, the law, our contracts or how we operate. The current version and date will always be available in Neuraplex. If a change materially affects how you use Neuraplex, we will ask you to review and accept the updated Terms.

20 Governing law

These Terms are governed by the laws of England and Wales. Nothing in them affects rights or obligations that cannot lawfully be excluded or restricted.

22 Your acceptance

When you first activate your account, and after any material change to these Terms, you will be asked to select “I Agree” to confirm:

“I have read and agree to the Neuraplex Terms of Use. I understand that my account is personal to me and that my use of Neuraplex is audit logged. I will keep information confidential and follow the security requirements for my account. I understand that screenshots, photography, screen recordings and recordings of Neuraplex are not permitted without prior written permission.”

If you are using a Trial or UAT environment, you will also be asked to confirm:

“I understand that I am accessing a confidential Neuraplex UAT environment. I will use it only with synthetic or dummy information, unless I have been told in writing that live data is authorised. I agree to use the platform only for authorised trial and evaluation purposes.”

We record the date and time of your acceptance, your user account and the version of the Terms you accepted.
